A typical commercial property transaction

1. Heads of terms are agreed. 2. Lawyers are instructed and the draft contract pack is issued. 3. The buyer’s legal team carries out title, search and enquiry due diligence. 4. Funding and any lender requirements are progressed. 5. Contract terms and any occupational documents are negotiated. 6. The buyer receives a legal report on the property and transaction. 7. Contracts are exchanged where the structure requires it. 8. Completion takes place and tax and registration steps follow. Unlike a standard residential purchase, commercial transactions can vary significantly in structure. A tenanted investment, vacant shop, development site and owner-occupied office will each require different emphasis.

Commercial conveyancing fees

RG Law’s current fees information states that commercial property transactions and leases start from £1,500. The final fee depends on the property, value, title, lease arrangements, finance and complexity. Commercial clients should also budget for searches, Land Registry fees, SDLT and other professional advice that may be required, such as survey, tax, planning or environmental advice. The legal quotation should reflect the actual scope rather than assuming every commercial property transaction is the same.

How long will it take?

A commercial property transaction can move quickly when the title is clean, funding is ready and the parties are aligned, but due diligence should not be sacrificed simply to meet an artificial date. If the transaction is linked to a lease expiry, business relocation, funding drawdown, auction deadline or development programme, tell RG Law at instruction so the legal work can be prioritised around the commercial critical path.

Issues commercial buyers should think about

How will the property be used? Is the current planning position suitable? Are there tenants or occupational rights? What repair liabilities exist? Are there restrictions on use or alteration? Is VAT chargeable? Does the lender have conditions that affect timing? Are there service charges, estate charges or shared-access arrangements? Some questions are legal; others require input from surveyors, accountants or planning advisers. The conveyancer’s job includes spotting when a point needs another specialist rather than treating every issue as purely legal.

A: Potentially, but the timetable depends on title, searches, finance, due diligence and the other party. Q: Do I need a survey? A: Legal due diligence does not assess the physical condition of the property. A commercial survey may be appropriate.
