Why the legal pack matters
An auction sale is designed to create a binding contract quickly. The bidder therefore relies heavily on the legal pack when deciding whether to bid and how much to offer. For a commercial property, that pack may need to deal with title, leases, tenancies, searches, VAT, special conditions and other documents that explain the legal and occupational position. Preparing the pack early gives the seller time to find missing documents, address obvious title issues and make the legal position clearer before bidders start carrying out their due diligence.
Documents commonly considered
• Official title entries and title plan • Contract and special conditions of sale • Commercial Property Standard Enquiries where applicable • Searches • Occupational leases and tenancy documents • Planning or property documents within scope • EPC and other available compliance documents • VAT or TOGC information where relevant • Replies or supplemental documents needed for the auction pack
Planning an auction sale?
Instruct RG Law before the catalogue goes live if possible. A legal pack assembled under last-minute pressure is more likely to be incomplete or create unnecessary bidder questions.

Preparing a commercial auction pack
1. RG Law obtains and reviews the title. 2. You provide leases, property documents and other information about the asset. 3. Relevant searches or enquiries are ordered or prepared. 4. The contract and auction special conditions are drafted. 5. The pack is checked for obvious gaps or inconsistencies. 6. The auctioneer receives the legal pack for publication. 7. Buyer enquiries are dealt with where appropriate before the auction. 8. If the lot sells, the matter moves into the short contractual completion period. The seller should also coordinate with its accountant, surveyor or other advisers where tax, physical condition or planning matters require specialist input.
Legal pack preparation costs
The legal cost depends on the title, number of leases or occupiers, complexity of the special conditions and how much work is needed to assemble the pack. Search fees and other disbursements may also apply. A simple vacant freehold is very different from a multi-let commercial investment, so the scope should reflect the property being sold.
When should the pack be started?
Ideally the legal pack should be substantially complete before serious bidder interest develops. That means instructing early enough to obtain title documents, searches and lease papers and to resolve obvious omissions. The auction timetable should work backwards from the catalogue and bidding dates, not from the completion deadline after the sale.
What helps bidders make a decision
Clear title information, complete leases, transparent special conditions and up-to-date searches reduce uncertainty. If a material document is missing or an unusual cost is being passed to the buyer, it should be dealt with openly in the legal pack rather than discovered after the auction. A well-prepared pack does not guarantee a sale, but it removes avoidable legal friction from the bidding process.
Commercial auction pack FAQs
Q: Who prepares the auction legal pack? A: The seller’s conveyancer or solicitor normally prepares the legal documentation with information supplied by the seller and other advisers. Q: Do I need searches before selling at auction? A: Often searches form part of the pack, but the exact requirements depend on the property and auction strategy. Q: What are special conditions of sale? A: Contractual terms that apply specifically to the auction lot and can alter the standard auction conditions. Q: What if the property is tenanted? A: The occupational leases and relevant tenancy documents are important parts of the legal pack. Q: Can the buyer raise enquiries before the auction? A: Yes, bidders or their lawyers may raise legal questions before bidding. Clear documentation helps those enquiries to be dealt with efficiently.
